Terms of Service
Effective October 19, 2026
These Terms cover your AgentLodge account, your license to the desktop application, what you are responsible for when you run terminal commands and coding agents, and how subscriptions, renewals, and cancellations work.
1. Acceptance and eligibility
These Terms of Service (the "Terms") are an agreement between you and AgentLodge ("we," "us," or "our") covering the AgentLodge website, account services, desktop application, and optional voice features (together, the "Services"). By creating an account, installing the desktop application, or using the Services, you accept these Terms. If you do not accept them, do not use the Services.
You must be able to form a binding contract to use the Services, and you must be at least 18 years old, or the age of majority where you live if that is higher. The Services are not directed to children under 13, and we do not knowingly provide them to children under 13. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
Our Privacy Policy at /privacy explains how we handle information and is incorporated into these Terms by reference.
2. Accounts and sign-in
An AgentLodge account is required. You can sign in with Google, with Apple, or with an email magic link sent to an address you control. You are responsible for keeping access to your sign-in method and your device secure, and for all activity that occurs under your account.
The number of devices that may be registered to an account at one time depends on your plan: one device on Pro, three on Ultra. Registering a further device requires replacing one of the registered devices. Provide an accurate email address, keep it current, and tell us promptly at the address in section 17 if you believe your account has been used without your permission.
3. License to use the desktop application
While your account is in good standing and covered by an active subscription, including its free-trial period, we grant you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the AgentLodge desktop application on your registered devices for your own use or your organization's internal use.
This license is all you receive; we and our licensors keep every other right. You may not:
- copy, sell, rent, lease, sublicense, distribute, or host the application for third parties;
- modify, translate, or create derivative works of the application, or reverse engineer, decompile, or disassemble it except to the extent applicable law expressly permits despite this restriction;
- circumvent, disable, or tamper with licensing, entitlement, subscription, device-limit, metering, or security mechanisms, or use credentials, tokens, or entitlements you were not issued;
- remove or obscure any proprietary notice; or
- use the application to build a competing product or to benchmark it for public release without our written consent.
4. Acceptable use
You agree not to use the Services to:
- break the law, infringe intellectual-property or privacy rights, or violate the rights of others;
- gain unauthorized access to any system, network, account, or data, including ours;
- distribute malware, run attacks, or interfere with or place an unreasonable load on the Services or their providers;
- resell, share, or pool account access, or evade plan, device, credit, or rate limits;
- misuse the optional voice features, including recording other people without the consent their local law requires; or
- harass, defraud, or endanger anyone, or generate content that applicable law prohibits.
5. Your terminal, your agents, your output
AgentLodge is a terminal application. Terminal commands run on your device with your permissions, and coding agents you launch can read, write, and delete your files, run programs, install software, and reach the network. You are solely responsible for the terminal commands that run in AgentLodge, for the coding agents you choose to run, for the instructions and permissions you give them, and for the consequences - including data loss, cost, or damage. Keep independent backups and use version control.
Coding agents, model providers, package registries, and other third-party services you reach through AgentLodge are not operated by us. Your use of them is governed by their own terms and privacy practices, you are responsible for any fees and for the API keys or credentials you supply, and we are not responsible for their availability, output, or acts.
Output produced by a coding agent or by the voice features may be inaccurate, insecure, incomplete, or unsuitable for your purpose, and similar output may be generated for other users. Review and test generated output, and any command before you approve it, before relying on it.
6. Optional voice features
Voice is off by default, requires your consent and microphone access, and is available only on the plan that includes it. Enabling voice sends your spoken request and the information needed to answer it to our backend and to third-party voice processing and AI model providers, as described in the Privacy Policy at /privacy. You are responsible for having any consent your local law requires before capturing audio of other people.
Voice depends on third-party providers, and voice availability, quality, latency, supported languages, and the underlying models may change or be withdrawn. Voice usage consumes credits as described in section 8.
7. Plans, billing, renewal, and cancellation
Using AgentLodge requires a subscription. Creating an account and signing in do not by themselves grant access to the paid features: until a subscription or its free-trial period covers your account, the desktop application stays locked behind a subscribe prompt.
Subscriptions are sold through Stripe, our payment processor; plans and prices are shown on the pricing page and again at checkout. Only Pro has a free trial: seven days, card required, one per account. You are not charged during the trial, and at its end it becomes a paid Pro subscription at the price you last confirmed unless you cancel before then. Pro Annual has no trial when the price you pay for it, after any discount code, is below $95 a year (such as the Super Deal), and Ultra has no trial; both are charged when you complete checkout. Once an account has had a Pro trial or paid for Pro Annual, a new Pro subscription is charged at checkout, and a plan change never starts a trial.
A subscription renews automatically for the same plan and billing period, at the price that plan and billing period started at, until it is cancelled. The lowest price you pay for Pro Annual is locked in while your subscription is continuous (refunded, credited or disputed payments don't count): Pro Annual renews at it, and if you switch to another plan or billing period and back, you pay the lowest of your locked-in price, the Pro Annual price at the time of the switch, and that price after any discount code (a code and the lock never combine). Your subscription stops being continuous, and the lock ends, when a cancellation takes effect or a failed payment is not recovered; undoing a scheduled cancellation before it takes effect keeps it continuous.
A discount code applies to the plan and billing period you enter it for, at every renewal, until you switch plans or billing periods or the subscription ends. After a switch, you can enter a code that is still valid for the new plan.
You manage your subscription on your account page: change plan, change billing period, cancel, and resume a cancellation. Your payment method and invoices are managed in the Stripe billing portal, reachable from the same page. A cancellation takes effect at the end of the period you have already paid for, and your access continues until then. If you cancel during the Pro free trial, no charge is taken at all and your access continues until the trial ends.
Before a plan change is applied, the account page shows what it costs today and when it takes effect, and asks you to confirm. A change that takes effect later is charged, and then renews, at the price shown when you made it. When a change moves you to a different plan, the plan decides when it takes effect, whatever happens to the billing period: a change to a higher plan takes effect immediately, and a change to a lower plan takes effect at the end of the current billing period. For example, a change from Ultra monthly to Pro annual takes effect at the end of the current billing period, and a change from Pro annual to Ultra monthly takes effect immediately. Within the same plan, a change from monthly to annual billing takes effect immediately, and a change from annual to monthly billing takes effect at the end of the current billing period. A change that takes effect immediately is charged that day, less the unused part of your current plan; if that unused part is worth more than the new plan, nothing is charged and the remainder becomes account credit applied to future renewals. During the Pro free trial, a change of billing period takes effect when the trial ends, while a change to Ultra, or to Pro Annual at a price, after any discount code, below $95 a year, ends the trial and is charged immediately.
Prices are exclusive of taxes unless stated otherwise. You are responsible for any sales, use, VAT, GST, or similar tax on your purchase; where we or our payment processor are required to collect it, it is shown at checkout or on your invoice. Except as expressly provided in these Terms or where required by law, all payments are non-refundable. Cancelling does not refund fees already paid, and your access continues through the end of the current paid period. Nothing here limits any refund or cancellation right you have under applicable consumer law.
If a charge fails, we retry it and may suspend paid access while we do; if payment is not recovered, your subscription ends. We may change our prices at any time; a new price applies to new subscriptions and to plan changes made after it takes effect, never to the renewal of a plan and billing period you already have. We may change plan contents with reasonable notice.
8. Voice credits
The plan that includes voice comes with a monthly allowance of voice credits, currently 1,000 credits per month. The first grant lands when you subscribe and later grants land on the monthly anniversary of that first grant. Each grant resets your balance to the monthly amount: unused credits do not roll over.
Speech-to-text, model, and text-to-speech usage debits credits at the published rates. When your balance is exhausted, voice stops working until your next grant, or until you add credits where that is offered; the rest of AgentLodge is unaffected. Credits are an allowance for use inside the Services - they are tied to your account, cannot be transferred, and are not a stored-value or cash instrument. Credit amounts and rates may change with reasonable notice for future grants.
9. Availability, updates, and product changes
We aim to keep the Services available, but they are provided without any uptime commitment and may be interrupted by maintenance, provider incidents, or events beyond our control. We may add, change, or remove features, and we may discontinue a feature or the Services; where a change materially reduces what you have paid for, we will give reasonable notice.
The desktop application can check for and install updates so it stays supported and secure. Updates may change behavior, and we may stop supporting older versions and older operating systems. Features labeled beta, preview, or experimental are provided as-is, may be unstable or incomplete, and may be changed or withdrawn at any time.
10. Intellectual property, your content, and feedback
The Services, the desktop application, and the AgentLodge name, logo, and branding are owned by us or our licensors and are protected by intellectual-property law. These Terms grant you no trademark rights and no rights other than the license in section 3.
Your content stays yours. Your code, files, terminal sessions, prompts, and the output generated for you remain your property or that of their respective owners, and we claim no ownership of them. You grant us only the limited, non-exclusive license needed to operate the features you actually use - for example, relaying a voice request so it can be answered - and you are responsible for having the rights to the content you submit.
If you send us feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation, confidentiality, or compensation to you.
11. Suspension, termination, and account deletion
You may stop using the Services at any time and cancel your subscription on your account page. You can request deletion of your account and associated personal information by email to support@agentlodge.dev, as described in the Privacy Policy at /privacy; deleting an account is handled on request and is not a self-service action inside the product today.
We may suspend or terminate your access, in whole or in part, if you breach these Terms, if payment is not made, if we reasonably believe your use creates a security, legal, or abuse risk, or if we are required to by law. Where it is practical and lawful we will give notice first and let you cure the problem.
When your access ends, your license under section 3 ends and you must stop using the desktop application; local data on your device is yours to keep or delete. Sections 5, 10, and 12 through 16 survive termination, along with any payment obligation already incurred.
12. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory - including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or trade usage.
We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that output produced through the Services will be accurate, safe, lawful, or fit for your purpose. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
13. Limitation of liability
To the maximum extent permitted by law, neither we nor our suppliers are liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost files, corrupted or deleted code, business interruption, or the cost of substitute services, however caused and on any theory of liability, even if we were advised of the possibility.
To the maximum extent permitted by law, our total liability for all claims relating to the Services is limited to the greater of the amount you paid us for the Services in the twelve months before the event giving rise to the claim, or US $100. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud, death, or personal injury caused by negligence.
14. Indemnification
You will defend, indemnify, and hold us and our officers, employees, and agents harmless from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising out of your use of the Services, the commands and agents you run, the content you submit, your breach of these Terms, or your violation of law or of a third party's rights. We will notify you of the claim and may participate in its defense with our own counsel.
15. Disputes and governing law
Before filing a formal claim, contact us at support@agentlodge.dev and give us 30 days to resolve the issue informally; most problems can be settled that way.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. The exclusive venue for disputes is the courts of the Province of Ontario. Mandatory consumer-protection rights in your country of residence are unaffected by this section.
16. Changes to these Terms
We may update these Terms as the Services or legal requirements change. We will post the updated Terms here and change the effective date, and for material changes we will give reasonable advance notice - by email or in the application - before they take effect. Continuing to use the Services after a change takes effect means you accept the updated Terms; if you do not accept them, stop using the Services and cancel your subscription.
